AGREEMENT TO PERFORM PROFESSIONAL SERVICES <br /> This agreement for the provision of services associated with an Airport Lighting and Sign <br /> Plan, and its associated engineering, design, and environmental services at the Redlands <br /> Municipal Airport ("Agreement") is made and entered in this 17th day of October, 2017 <br /> ("Effective Date"), by and between the City of Redlands, a municipal corporation ("City)" and <br /> WSP USA, Inc ("Consultant") City and Consultant are sometimes individually referred to <br /> herein as a "Party" and, together, as the "Parties " <br /> RECITALS <br /> WHEREAS, on February 17, 2015, City entered into an agreement (the "Initial <br /> Agreement") with Parsons Brinkerhoff for the provision of engineering, design, and <br /> environmental services at the Redlands Municipal Airport associated with City's Airport <br /> Lighting and Sign Plan, and <br /> WHEREAS, on April 18, 2017, the City amended the Initial Agreement to amend the <br /> name and contact information of Consultant, the Scope of Services, and the total compensation <br /> for Consultant's performance of the Services, and <br /> WHEREAS, as of May 1, 2017, WSP I Parsons Brinckerhoff changed its name to WSP <br /> USA, Inc , <br /> NOW, THEREFORE, in consideration of the mutual promises contained herein, the City of <br /> Redlands and WSP USA, INC agree as follows <br /> ARTICLE I —ENGAGEMENT OF CONSULTANT <br /> 1 1 City hereby engages Consultant to provide engineering, design, and environmental <br /> services at the Redlands Municipal Airport for City's Quality of Life Department (the <br /> "Services") <br /> 12 The Services shall be performed by Consultant in a professional manner, and Consultant <br /> represents that it has the skill and the professional expertise necessary to provide the <br /> Services to City at a level of competency presently maintained by other practicing <br /> professional consultants in the industry providing like and similar types of Services <br /> ARTICLE 2—SERVICES OF CONSULTANT <br /> 21 The Services that Consultant shall perform are more particularly described in Exhibit <br /> "A," entitled "Scope of Services," which is attached hereto and incorporated herein by <br /> reference <br /> 22 Consultant shall comply with applicable federal, state, and local laws and regulations in <br /> the performance of this Agreement including, but not limited to State prevailing wage <br /> laws <br /> 1 <br /> 11ca\djrn\AgreementAWSP Enviro and Engineering Services Agreement 17 OCT 2017 doc <br />
