FIRST AMENDMENT TO THE SERVICE AGREEMENT <br />FOR THE PROVISION OF SOFTWARE MODULES AND ACTUARIAL VALUATIONS <br />This first amendment ("First Amendment") to the agreement to provide the use of Pension <br />& Other Post -Employment Benefit (OPEB) software modules and biennial actuarial valuations <br />dated October 17, 2017 (the "Agreement"), by and between the City of Redlands, a municipal <br />corporation ("Customer" 1 "City"), and GovInvest, Inc ("Company"), is made and entered into <br />this 3rd day of July, 2018 <br />RECITALS <br />WHEREAS, it is the desire of the City and Company to amend their existing Agreement, <br />specifically the Initial Terin of the Agreement, as defined in the Section entitled "Summary of <br />Services and Implementation," from three (3) years from the Effective Date (October 17, 2017), <br />to three (3) years and seven (7) months from the Effective Date, to account for delays in the City <br />being granted use and access to the software modules, <br />NOW, THEREFORE, City and Company agree as follows <br />AGREEMENT <br />Section 1 Page two (2) of the Agreement, entitled "Summary of Services and <br />Implementation," and within the subheading "Services," the "Initial Term" is hereby amended to <br />read as follows <br />Initial Term Three -years and seven months from Effective Date <br />Section 2 All other provisions of the Agreement shall remain unchanged by this First <br />Amendment and in effect <br />IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective as of <br />July 3, 2018 <br />CITY OF REDLANDS <br />GOVINVEST, INC <br />ByJlWr4�cr'6P*V'y_ <br />6Foster, Mayor Jas ine chtigall ourm , President <br />ATTEST <br />Je e Donaldson, City Clerk <br />I \ca\dlm\Agreements\1st Amendment to GovInvest Agmt docx <br />
