SETTLEMENT AGREEMENT AND MUTUAL GENERAL RELEASE <br /> This Settlement Agreement and Mutual General Release Agreement ("Agreement") is <br /> made and entered into this 29th day of August, 2017, by and between the City of Redlands, <br /> including its elected officials, officers, employees, and agents (collectively, "Employer"), and <br /> George Chris Diggs, including his heirs, executors, administrators, successors, and assigns <br /> (collectively, "Employee"). Employer and Employee hereby agree that: <br /> Section I. Consideration. <br /> In consideration for Employee's execution of this Agreement, and Employee's compliance <br /> with the promises made herein, Employer agrees: <br /> A. To accept Employee's written resignation effective August 29, 2017, by written <br /> notice to Employer. No other compensation (salary or benefits) shall be paid to by <br /> Employer to Employee, except for compensation earned by Employee as of the date <br /> of this Agreement. <br /> B. As determined by Employer's City Manager pursuant to Article 16 of the <br /> Memorandum of Understanding between the City of Redlands and the Redlands <br /> association of Management Employees dated July 1, 2017 — June 30, 2018, <br /> Employer shall pay to Employee the sum of Ninety Three Thousand Two Hundred <br /> Seventy One and Ten One-Hundreths Dollars ($93,271.10) representing six (6) <br /> months' severance compensation for Employee. Such severance compensation shall <br /> be paid by Employer to Employee within seven (7) business days after the <br /> Revocation Period of this Agreement. <br /> In consideration for Employer's execution of this Agreement, and compliance with the <br /> promises made herein, Employee agrees: <br /> C. To submit a written resignation letter to Employer, effective as of August 29, 2017. <br /> Upon receipt, the resignation letter will be accepted by Employer and will be <br /> deemed irrevocable. The aforesaid letter of resignation shall be placed within <br /> Employee's official personnel file, along with a copy of this Agreement. <br /> D. That this Agreement is not confidential, and is a public record of Employer subject <br /> to public disclosure in accordance with state law. Except as otherwise provided for <br /> herein, inquiries to Employer from prospective employers seeking references or <br /> performing background investigation shall only be responded to by Employer with <br /> information of the dates of Employee's employment and his job title. <br /> E. To fully cooperate and participate in the defense of the City of Redlands in any <br /> litigation or legal proceeding existing as of the date of this Agreement. <br /> Section II. Mutual General Release of Claims. <br />
