AGREEMENT OF PURCHASE AND SALE AND <br />JOINT ESCROW INSTRUCTIONS <br />This AGREEMENT OF PURCHASE AND SALE AND JOINT ESCROW <br />INSTRUCTIONS ("Agreement") is made and entered into, and effective as of April 2, 2019 <br />("Effective Date"), by and between San Bernardino County Transportation Authority ("SBCTA") <br />("Buyer"), and City of Redlands, a municipal corporation ("Seller"), with reference and respect to <br />the "Recitals" set forth in paragraphs A, B and C below Buyer and Seller are sometimes <br />individually referred to herein as "Party" and, together, as the "Parties " <br />RECITALS <br />A Seller is the ownei in fee simple of certain real property located at 31 Stuart Avenue, <br />within the City of Redlands, San Bernardino County, California, designated as Assessor Parcel <br />Number 0169-281-19 and more particularly described in EXHIBIT I attached hereto and <br />incorporated herein by this reference ("Property") <br />Buyer desires to acquire a portion of the Property in connection with the Redlands <br />Passenger Rail Project ("Project") The Project involves the extension of passenger rail service <br />along an approximately nine -mile corridor extending east from the San Bernardino Transit Center <br />in the City of San Bernardino to the University of Redlands in the City of Redlands, in the County <br />of San Bernardino, State of California The portion of and interest in the Property to be acquired <br />is as follows The fee interest in that certain portion of the Property consisting of approximately <br />2,708 square feet (hereinafter referred to as the "Transfer Portion") and more fully described and <br />depicted in the Grant Deed attached hereto as EXHIBIT 2 and incorporated herein by this reference <br />(hereinafter referred to as the "Grant Deed") <br />C Sellei is willing to transfer the Transfer Portion on and subject to the terms set forth in <br />this Agreement, Seller and Buyer hereby acknowledging and agreeing that the Transfer Portion is <br />being acquired (i) for public use and is necessary foi the construction, operation and/or <br />maintenance of the Project and (ii) pursuant to this Agreement in lieu of a condemnation action or <br />proceeding and/or an action of proceeding in the nature of eminent domain <br />NOW, THEREFORE, in consideration of the foregoing facts and circumstances, the <br />covenants, agreements, representations and/or warranties contained herein, as well as other good <br />and valuable consideration, the receipt and sufficiency of which is acknowledged by each of the <br />Parties, the Parties hereto do hereby agree as follows <br />AGREEMENT <br />1 PURCHASE AND SALE <br />1 1 Transfei Portion Sellei agrees to sell the Transfei Portion upon and subject <br />to the terms and conditions set forth herein <br />L IcaldjEnlAgreements\PSA 3 l Stuart Ave SBCTA City of Redlands.jn.docx <br />PSA — City of Redlands <br />56881190 v2 <br />RPRP 5 l l L-076 <br />
