FIRST AMENDMENT TO AGREEMENT TO PERFORM NON-PROFESSINAL SERVICES FOR IMPROVEMENT TO PUBLIC BUILDINGS AND GROUNDS This first amendment ("First Amendment") to the agreement for the provision of city tree trimming and arboriculture services ("Agreement") dated December 15, 2020, by and between the City of Redlands, a municipal corporation and general law city ("City"), and West Coast Arborist, Inc , a California corporation ("Contractor"), is made and entered into this 19th day of October, 2021 RECITALS WHEREAS, the Facilities and Community Services Department administers the tree care maintenance for approximately 44,000 City -owned trees, and WHERAS, on December 15, 2020, the City Council awarded a multi -year agreement to Contractor to provide tree trimming, removal, planting, and consulting services, and WHERAS, the City Council is adopted budget for Fiscal Year 2021-22 includes sufficient funding to trim approximately twenty five percent (25%) of the City's street trees, and WHEREAS, it is the desire of City and Contractor to amend Article 5 1 of the Agreement to increase Contractor's total compensation, NOW, THEREFORE, City and Contractor agree as follows. AGREEMENT Section 1. Section 5 1 of the Agreement, titled "Payments to Contractor," is hereby amended to read as follows "5 1 The compensation for Contractor's performance of the Services shall not exceed the amount of one million five hundred thousand dollars ($1,500,000) for the Services provided during the Initial Term. Should this Agreement be extended, the compensation for Contractor's performance for the Services shall not exceed the amount of one million dollars ($1,000,000) for the first Extended Term, and one million dollars ($1,000,000) for the second Extended Term, bringing the total possible amount of compensation to a not - to -exceed amount of three million five hundred thousand dollars ($3,500,000) For the Initial Term and each Extended Term, City shall pay Contractor on a time and materials basis up to the not -to -exceed amount in accordance with the rates specified in Exhibit "B," titled "Price and Fee Bid," which is attached hereto and incorporated herein by reference " Section 2.
