agents, partners, or joint ventures of CONFIRE, and are not entitled to benefits of any kind <br />or nature normally provided employees of CONFIRE and/or to which CONFIRE's <br />employees are normally entitled, including, but not limited to, State Unemployment <br />Compensation or Worker's Compensation. Contractor shall assume full responsibility for <br />payment of all federal, state and local taxes or contributions, including unemployment <br />insurance, social security and income taxes with respect to Contractor's employees. <br />4. SCOPE OF SERVICES. Contractor shall furnish to CONFIRE the services described in <br />Exhibit A ("Services") <br />5 COMPENSATION Contractor shall receive payment, for Services satisfactorily rendered <br />pursuant to this Agreement, as specified in Exhibit B ("Compensation") <br />6. GENERAL TERMS AND CONDITIONS. The General Terms and Conditions are set <br />forth in Exhibit C <br />7 INSURANCE. Exhibit D, entitled "Insurance," is attached hereto and incorporated by <br />reference <br />8. HIPPA BUSINESS ASSOCIATE AGREEMENT The "Business Associate Agreement" <br />is set forth in Exhibit E. <br />9 NOTICE. Any notice or other communication required, or which may be given, pursuant <br />to this Agreement, shall be in writing. Any such notice shall be deemed delivered (i) on the <br />date of delivery in person, (ii) five (5) days after deposit in first class registered mail, with <br />return receipt requested, (iii) on the actual delivery date if deposited with an overnight <br />courier, or (iv) on the date sent by facsimile or electronic mail transmission (including <br />PDF), if confirmed with a copy sent contemporaneously by first class, certified, registered <br />or express mail, in each case properly posted and fully prepaid to the appropriate address <br />set forth below, or such other address as a Party may provide notice in accordance with this <br />section. <br />To CONFIRE <br />Consolidated Fire Agencies <br />Attn.
