FIRST AMENDMENT TO AGREEMENT TO PERFORM NON-PROFESSIONAL <br />SERVICES FOR EQUIPMENT AND SUPPLIES <br />This First Amendment ("First Amendment") to the Agreement for the provision of <br />generator repair service and preventative maintenance ("Agreement"), dated June 16, 2020, is <br />made and entered into this 16th day of November, 2021 by and between the City of Redlands, a <br />municipal corporation and a general law city ("City") and On Power Industries, LLC, a California <br />limited liability company ("Contractor"). <br />RECITALS <br />WHEREAS, it is the desire of the City and Consultant to amend Article 5 1 of the <br />Agreement to increase Consultant's total compensation of Ninety One Thousand Five Hundred <br />Ninety Dollars ($91,590), to the amount of Two Hundred Eleven Thousand Five Hundred Ninety <br />Dollars ($211,590), <br />NOW, THEREFORE, in consideration of the mutual promises contained herein, City and <br />Consultant agree as follows. <br />AGREEMENT <br />Section 1 Article 5 of the Agreement, titled "Payments to Contractor," is hereby <br />amended to read as follows <br />"5 1 The compensation for Contractor's performance of the Services shall not exceed <br />the amount of Thirty Thousand Five Hundred Thirty Dollars ($30,530) for the Services provided <br />during the Initial Term. Should this Agreement be extended, the compensation for Contractor's <br />performance for the Services shall not exceed the amount of Ninety Thousand Five Hundred Thirty <br />Dollars ($90,530) for the first Extended Tenn, and Ninety Thousand Five Hundred Thirty Dollars <br />($90,530) for the second Extended Term, bringing the total possible amount of compensation to a <br />not -to -exceed amount of Two Hundred Eleven Thousand Five Hundred Ninety Dollars <br />($211,590) For the Initial Term and each Extended Term, City shall pay Contractor on a time and <br />materials basis up to the not to not -to -exceed amount in accordance with the rates specified in <br />Exhibit `B," titled "Price and Fee Bid," which is attached hereto and incorporated herein by <br />reference." <br />Section 2. The total compensation for Consultant pursuant to Exhibit "B" of the <br />Agreement, titled "Price and Fee Bid," is hereby amended to include the work that is identified in <br />Exhibit "1 " <br />Section 3 All other provisions of the Agreement shall remain unchanged by this First <br />Amendment and in effect. <br />1 <br />L.\ca\djm\Agreements\On Power Industries First Amend,FY21-0044.docx,jn <br />
