na� D un`\1 <br />I,1J Y V <br />kl\\ ,9., <br />AGREEMENT TO FURNISH ENERGY MANAGEMENT l <br />SYSTEM INTERFACE SOFTWARE SERVICES <br />This Agreement is made and entered into this 19th day of December, 2000, by and between <br />the City of Redlands, a municipal corporation (hereinafter "City") and Honeywell Inc., Home and <br />Building Control, hereinafter ("Honeywell"). <br />In consideration of the mutual promises, covenants and conditions hereinafter set forth, City <br />and Honeywell agree as follows: <br />1.1 <br />ARTICLE 1 - ENGAGEMENT OF HONEYWELL <br />City retains Honeywell to furnish a Honeywell, Inc. Energy Management System Interface <br />Software System that will enable City personnel to make scheduling changes and respond <br />to hot/cold calls for existing City facilities with Honeywell Direct Digital controls (the <br />"Services"). This Interface software equipment will replace Honeywell, Inc. Service Net <br />Support, which is currently monitoring City's facilities. <br />1.2 The Services shall be performed by Honeywell in a professional manner, and Honeywell <br />represents that it has the skill and the professional expertise necessary to provide the Services <br />to City at a level of competencypresently maintained by other practicing professional <br />consultants in the industry providing like and similar types of services. <br />ARTICLE 2 - SERVICES OF HONEYWELL <br />2.1 Honeywell shall furnish the necessary software, hardware and labor to design and install the <br />Energy Management System Interface. Honeywell's Services include the provision of data <br />base generation, graphics generation, installation, testing and "check-out" of all software, the <br />performance of all calibrations, and adjustments, and a final check of the operation of the <br />software equipment.
