FIRST AMENDMENT TO AGREEMENT TO PERFORM NON-PROFESSIONAL <br />SERVICES FOR EQUIPMENT AND SUPPLIES <br />This first amendment ("First Amendment") to the agreement for the supply and delivery <br />of renewable liquid natural gas ("Agreement"), dated May 17, 2022, by and between the City of <br />Redlands, a municipal corporation and a general law city ("City"), and Applied LNG <br />Technologies, LLC. a Delaware Corporation ("Consultant"), is made and entered into this 21" day <br />of February, 2023. <br />RECITALS <br />WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement, <br />specifically the payments to contractor; <br />NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby <br />acknowledged City and Consultant agree as follows: <br />AGREEMENT <br />Section 1. Article 5 of the Agreement, entitled "Payments to Contractor," is hereby <br />amended to read as follows: <br />The compensation for Contractor's performance of the Services shall not exceed the <br />amount of Two Million Three Hundred Sixty -One Thousand Eight Hundred Seventy -Nine Dollars <br />($2,361,879) for the Services provided during the Initial Term. Should this Agreement be renewed, <br />the compensation for Contractor's performance for the Services shall not exceed the amount of <br />Six Hundred Thirty -Seven Thousand Ninety -Eight Dollars ($637,098) for the first Extended Term; <br />and Six Hundred Thirty -Seven Thousand Ninety -Eight Dollars ($637,098) for the second <br />Extended Term, bringing the total possible amount of compensation to a not -to -exceed amount of <br />Three Million Six Hundred Thirty -Six Thousand Seventy -Five Dollars ($3,636,075). For the <br />Initial Term and each Extended Term, City shall pay Contractor on a time and materials basis up <br />to the not to not -to -exceed amount. in accordance with the rates specified in Exhibit "A," titled <br />"Scope of Services," which is attached hereto and incorporated herein by reference. <br />Section 2.
