SECOND AMENDMENT TO AGREEMENT TO PERFORM NON-PROFESSIONAL <br />SERVICES FOR IMPROVEMENT TO PUBLIC BUILDINGS AND GROUNDS <br />This second amendment ("Second Amendment") to the agreement for well and booster <br />pump maintenance ("Agreement"), dated June 15, 2021, by and between the City of Redlands, a <br />municipal corporation and a general law city ("City"), and General Pump Company, Inc., a <br />California corporation ("Contractor"), is made and entered into this 6t1i day of June, 2023. <br />RECITALS <br />WHEREAS, City and Contractor entered into the Agreement for an initial term of one (1) <br />year for the performance of well and booster pump maintenance services for the City's water well <br />systems; <br />WHEREAS, the Agreement was amended to extend the Agreement for an additional year <br />("First Amendment"); and <br />WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, <br />specifically to revise the Scope of Services and compensation to include additional well <br />maintenance. <br />NOW, THEREFORE, City and Contractor agree as follows: <br />AGREEMENT <br />Section 1. Subsection 4.2 of the Agreement, titled "Article 4 — Performance of Services," <br />is hereby amended to read as follows: <br />"4.2 The term of this Agreement shall be for a period of one (1) year commencing on July <br />1, 2021 (the "Initial Term"). The City shall have the option to extend the Initial Term of <br />this Agreement as follows: (1) The First Extension for the period of July 1, 2022- June 30, <br />2023; (2) The Second Extension for the period July 1, 2023-December 31, 2024, <br />(collectively the "Extended Term"), on the same terms and conditions, by providing written <br />notice to the Contractor at least thirty (30) days prior to the expiration of the Initial Term <br />and subsequently, at least thirty (30) days before the expiration of any Extended Term. The <br />Initial Term and the Extended Term are hereby collectively referred to herein as the "Term" <br />of this Agreement." <br />Section 2. Section 5.1 of the Agreement, titled "Article 5 — Payments to Contractor," is <br />hereby amended to read as follows: <br />"5.1 Total compensation for Consultant's performance of Services under this Agreement <br />shall not exceed the amount of Two Million Five Hundred Seventy Seven Thousand Four Hundred <br />Forty Five Dollars and Twenty Eight cents ($2,577,445.28) for the Services provided during the <br />1:\cmo\Agreements\4857 2nd_Amendment_General_Purnp_Company_PY22-0174.docx - AE <br />
