SECOND AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES <br />This second amendment ("Second Amendment") to the agreement for the provision of <br />professional services associated with the development and implementation of an Inclusionary <br />Housing Program ("Agreement"), dated October 4, 2022, by and between the City of Redlands, a <br />municipal corporation and a general law city ("City"), and Keyser Marston Associates, Inc. a <br />California Corporation ("Consultant"), is made and entered into this 20t11 day of June 2023. <br />RECITALS <br />WHEREAS, the Parties entered into a Professional Services Agreement ("Agreement") on <br />October 4, 2022, for the development of an Inclusionary Housing Program; and <br />WHEREAS, the Parties entered into a Second Amendment to the Agreement ("Second <br />Amendment") on June 20, 2023; and <br />WHEREAS, it is the desire of the Parties to amend their existing Agreement, specifically <br />to make a change extending the deadline for the performance of the services by the Consultant. <br />NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby <br />acknowledged City and Consultant agree as follows: <br />AGREEMENT <br />Section 1. Article 2 of the Agreement, entitled "Services of Consultant," is hereby amended <br />to read as follows: <br />"2.1 The Services that the Consultant shall perform are more particularly described and amended <br />in Exhibit "A", titled "Scope of Services and Fee Schedule," which is attached hereto and <br />incorporated herein by this reference. <br />Section 2. Article 4 of the Agreement, entitled "Performance of Services," is hereby <br />amended to read as follows: <br />"4.2 Consultant shall complete the Services by June 30, 2024; the City shall have the option to <br />extend the term of the Agreement by one (1) additional year, on the same terms and conditions, by <br />providing written notice to the Contractor at least thirty (30) days prior to the expiration of the <br />Agreement unless the services are terminated earlier as provided for herein." <br />Section 3.
