FIRST AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES <br />This first amendment ("First Amendment") to the agreement for the provision of <br />professional environmental consulting services ("Agreement"), dated August 16, 2022, by and <br />between the City of Redlands, a municipal corporation and a general law city ("City"), and LSA <br />Associates, Inc., a California corporation ("Consultant"), is made and entered into this 31 st day <br />of August, 2023. <br />RECITALS <br />WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement, <br />specifically to extend the time for completion of the services to June 30,2024. <br />NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby <br />acknowledged City and Consultant agree as follows: <br />AGREEMENT <br />Section 1. Section 4.1 of the Agreement, entitled "Performance of Services," is ,hereby <br />amended to read as follows: <br />4.1 Consultant shall perform and complete the Services on the Effective Date of this Agreement <br />and complete the Services by June 30, 2024, unless the Services are terminated earlier as provide <br />for herein." <br />Section 2. Section 5.3 of the Agreement, entitled "Payments To Consultant," is hereby <br />amended to read as follows: <br />5.3 Any notice or other communication required, or which may be given, pursuant to this <br />Agreement, shall be in writing. Any such notice shall be deemed delivered (i) on the date of delivery <br />in person; (ii) five (5) days after deposit in first class certified, registered or express mail, with return <br />receipt requested; (iii) on the actual delivery date if deposited with an overnight courier; or (iv) on <br />the date sent by facsimile or electronic mail transmission (including PDF), if confirmed with a copy <br />sent contemporaneously by first class, certified, registered or express mail; in each case properly <br />posted and fully prepaid to the appropriate address set forth below, or such other address as a Party <br />may provide notice in accordance with this section: <br />City: <br />Brian Desatnik, Director <br />Development Service Department <br />35 Cajon Street, Ste. 20 <br />P.O.
