FIRST AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES <br />This first amendment ("First Amendment") to the agreement for the provision of <br />professional environmental consulting services ("Agreement"), dated October 12, 2022, by and <br />between the City of Redlands, a municipal corporation and a general law city ("City"), and MIG <br />Inc., ("Consultant"), is made and entered into this 1st day of July 2023. <br />RECITALS <br />WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement, <br />specifically to extend the time for completion of the services to December 31, 2023. <br />WHEREAS, it is the desire of the Parties to amend their existing Agreement, specifically <br />to update the total compensation to consultant, scope of services, and project costs of the <br />Agreement. <br />NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby <br />acknowledged City and Consultant agree as follows: <br />AGREEMENT <br />Section 1. Section 4.1 of the Agreement, entitled "Performance of Services," is hereby <br />amended to read as follows: <br />4.1 Consultant shall perform and complete the Services on the Effective Date of this <br />Agreement and complete the Services by December 31, 2023, unless the Services are terminated <br />earlier as provide for herein." <br />Section 2. Section 5.1 of the Agreement, entitled "Payments to Consultant," is hereby <br />amended to read as follows: <br />5.1 The total compensation for Consultant's performance of the Services shall not exceed the <br />amount sixty-seven thousand sixty-five dollars ($67,065). City shall pay Consultant on a time and <br />materials basis, up to the not to exceed amount, in accordance with Exhibit `B," titled "Project <br />Costs and Hourly Rates," which is attached hereto and incorporated herein by this reference." <br />Section 3. Exhibit "A" entitled "Scope of Services" and as described in Article 2.1 and <br />made part of the First Amendment is hereby replaced with a new Exhibit "A", which is attached <br />hereto and incorporated herein and into the Agreement by this reference. <br />Section 4. Exhibit `B" entitled "Project Costs and Hourly Rates" and as described in Article <br />5.1 and made part of the First Amendment is hereby replaced with a new Exhibit `B", which is <br />attached hereto and incorporated herein and into the Agreement by this reference. <br />Section 5.
