SECOND AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES <br />This Second Amendment ("Second Amendment") to the agreement for Ford original <br />equipment manufacturer parts and repair services ("Agreement"), dated June 21, 2022, by and <br />between the City of Redlands, a municipal corporation, and a general law city ("City"), and Ken <br />Grody Redlands, LLC, a California limited liability company ("Contractor"), is made and entered <br />into this 6th day of February, 2024. <br />RECITALS <br />WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, <br />specifically the payments to Contractor; <br />NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby <br />acknowledged City and Contractor agree as follows: <br />AGREEMENT <br />Section 1. Section 5.1 under Article 5 of the Agreement, entitled "Payments to Contractor," <br />is hereby amended to read as follows: <br />Compensation: The compensation for Contractor's performance of the Services shall not <br />exceed the amount of one hundred twenty-eight thousand two hundred forty-two dollars <br />($128,242) for the Services provided during the Initial Term. Should this Agreement be renewed, <br />the compensation for Contractor's performance for the Services shall not exceed the amount of <br />one hundred ninety eight thousand dollars ($198,000) for the first Extended Term; and one hundred <br />ninety-eight thousand dollars ($198,000) for the second Extended Term, bringing the total possible <br />amount of compensation to a not -to -exceed amount of five hundred twenty four thousand two <br />hundred forty-two dollars ($524,242). For the Initial Term and each Extended Term, City shall <br />pay Contractor on a time and materials basis up to the not to not -to -exceed amount in accordance <br />with the rates specified in Exhibit "B," titled "Fee Schedule," which is attached hereto and <br />incorporated herein by reference. <br />Section 2.
