FIRST AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES This First Amendment ("First Amendment") to the agreement for repair parts for heavy- duty trucks ("Agreement"), dated June 21, 2022, by and between the City of Redlands, a municipal corporation, and a general law city ("City"), and P & S Truck Supply, Inc. a California corporation dba P & S Truck Center ("Contractor"), is made and entered into this 6'1' day of February, 2024. RECITALS WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, specifically the payments to Contractor; NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Contractor agree as follows: AGREEMENT Section I . Section 5.1 of the Agreement, under Article 5 entitled "Payments to Contractor," is hereby amended to read as follows: Compensation: The compensation for Contractor's performance of the Services shall not exceed the amount of twenty-nine thousand eight hundred fifty-four dollars and forty cents ($29,854.40) for the Services provided during the Initial Term. Should this Agreement be renewed, the compensation for Contractor's performance for the Services shall not exceed the amount of fifty nine thousand dollars ($59,000) for the first Extended Term; and fifty nine thousand dollars ($59,000) for the second Extended Term, bringing the total possible amount of compensation to a not -to -exceed amount of one hundred forty seven thousand eight hundred filly -four thousand dollars and forty cents ($ 147,854.40). For the Initial Term and each Extended Term, City shall pay Contractor on a time and materials basis up to the not to not -to -exceed amount in accordance with the rates specified in Exhibit "8," titled "Fee Schedule," which is attached hereto and incorporated herein by reference.
