CITY OF REDLANDS AND WEST COAST <br />ARBORISTS, INC. SIDE LETTER OF <br />AGREEMENT (2024) <br />This Side Letter of Agreement made and entered into this 5th day of March 2024 clarifies the <br />agreement approved by the City Council on February 20, 2024 for the provision of city tree <br />trimming and arboriculture services ("Agreement") between West Coast Arborists, Inc., a <br />California corporation ("Contractor") and the City of Redlands ("City"), a municipal <br />corporation and general law city. The Contractor and the City are sometimes individually <br />referred to herein as a "Party" and, together, as the "Parties." <br />RECITALS <br />WHEREAS, on February 20, 2024, Contractor and City executed an Agreement to <br />Perform Non -Professional Services for Improvement to Buildings and Grounds to provide city <br />tree trimming and arboriculture services. ("Agreement"); and <br />WHEREAS, the Parties now wish to clarify their intentions with respect to subsection <br />4.2 of Article 4 — "Performance of Services" of the Agreement. <br />NOW, THEREFORE, in consideration of the mutual promises contained herein, <br />Contractor and City agree as follows: <br />AGREEMENT <br />Section 1. Subsection 4.2 of Article 4 — "Performance of Services" of the <br />Agreement is hereby amended to read as follows: <br />"4.2: The term of this Agreement shall be for a period of three (3) years from the Effective <br />Date of this Agreement (the "Initial Term"). The City shall have the option to extend the Initial <br />Term of this Agreement by two (2) additional one-year terms (each, an "Extended Term"), on <br />the same terms and conditions, by providing written notice to the Contractor at least thirty (30) <br />days prior to the expiration of the Initial Term or any Extended Term. The Initial Term and the <br />Extended Terms are hereby collectively referred to as the "Term" of this Agreement." <br />Section 2.
