FIRST AMENDMENT TO AGREEMENT TO PERFORM NON-PROFESSIONAL SERVICES FOR IMPROVEMENT TO PUBLIC BUILDINGS AND GROUNDS This first amendment ("First Amendment") to the agreement for the provision of citrus grove care, maintenance and harvest ("Agreement"), dated September 6, 2022, by and between the City of Redlands, a municipal corporation and a general law city ("City"), and Larry Jacinto Farming, Inc., a California corporation ("Contractor"), is made and entered into this 19th day of November, 2024. RECITALS WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, specifically to add additional funding in the amount of $399,975 to account for increases in the costs of farming activities and the quantity of work required by the City to maintain the citrus groves during the term of the agreement. NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Contractor agree as follows: AGREEMENT Section 1. Article 5 of the Agreement, entitled "Payments to Consultants," Section 5.1 of the Agreement is hereby amended to read as follows: "5.1 Total compensation for Contractor's performance of the Services shall not exceed the amount of One Million Four Hundred Seventeen Thousand Eight Hundred Seventy -Five Dollars ($1,417,875). City shall pay Contractor on a time and materials basis up to the not to exceed amount in accordance with Exhibit "C," titled "Fee Schedule/Price and Fee Bid," which is attached hereto and incorporated herein by reference." Section 2. Exhibit "C" of the Agreement, entitled "Fee Price and Fee Bid," is hereby amended as shown in Attachment 1 attached to this First Amendment. Section 3.
