Docusign Envelope ID: E7016115-03E9-4F68-A6E9-457CAC7FE1A0 <br />AGREEMENT TO PERFORM PROFESSIONAL SERVICES <br />This agreement for Master Construction Management Services ("Agreement") is made and <br />entered in this 171h day of December 2024 ("Effective Date"), by and between the City of Redlands, a <br />municipal corporation ("City") and Tilden -Coil Constructors, Inc., a California corporation <br />("Consultant'). City and Consultant are sometimes individually referred to herein as a "Party" and, <br />together, as the "Parties." In consideration of the mutual promises contained herein, City and Consultant <br />agree as follows: <br />ARTICLE 1 — ENGAGEMENT OF CONSULTANT <br />1.1 City hereby engages Consultant to provide and perform services in connection with the <br />preconstruction, bidding, and construction management of the projects in connection with the <br />State Street City Hall Facility (SSCH) Project as assigned from time -to -time by the City to the <br />Consultant under this Agreement (the "Services) as set forth herein. <br />1.2 The Services shall be performed by Consultant in a professional manner, and Consultant <br />represents that it has the skill and the professional expertise necessary to provide the Services to <br />City at a level of competency presently maintained by other practicing professional consultants <br />in the industry providing like and similar types of Services. <br />ARTICLE 2 — SERVICES OF CONSULTANT <br />2.1 The Construction Management (CM) Services that Consultant shall perform are more <br />particularly described in Exhibit "A," titled "Scope of Services," which is attached hereto and <br />incorporated herein by this reference. <br />2.2 Standard of Performance. Consultant shall at all times faithfully and competently perform the <br />Services in accordance in a manner satisfactory to the City and consistent with the skill and <br />standard of care generally exercised by like professionals under similar circumstances. <br />2.3 Time of Performance. Consultant shall commence the Services upon receipt of a written notice <br />to proceed from City and shall perform all Services in conformance with the timeline established <br />by the Parties in writing. <br />2.4 Personnel. Consultant has, or shall secure at its own expense, all personnel required to perform <br />the Services required under this Agreement. All of the Services shall be performed by Consultant <br />or under its supervisions, and all personnel engaged in the work shall be qualified to perform <br />such Services. <br />2.5 Consultant shall comply with applicable federal, state and local laws and regulations in the <br />performance of this Agreement including, but not limited to, any applicable State prevailing wage <br />laws. <br />2.6 Permits and Licenses. Consultant shall obtain and maintain during the Agreement term all <br />necessary licenses, permits and certificates required by law for the performance of the Services <br />under this Agreement, including a business license. <br />1 <br />I:\cmo\Agree ncn[s\Tilden-Coil Constructors, Inc.
