THIRD AMENDMENT TO AGREEMENT TO PERFORM NON-PROFESSIONAL SERVICES This Third Amendment ("Third Amendment") to the agreement for the supply and delivery of renewable liquid natural gas ("Agreement"), dated May 17, 2022, by and between the City of Redlands, a municipal corporation and a general law city ("City"), and Applied LNG Technologies, LLC, a Delaware limited liability company ("Contractor"), is made and entered into this 1st day of July, 2025. RECITALS WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, specifically the term of this agreement NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Contractor agree as follows: AGREEMENT Section 1. Article 4 of the Agreement, entitled "Performance of Services," is hereby amended to read as follows: The initial term of this Agreement shall commence on the Effective Date of May 17, 2022 and end on June 30, 2023 (the "Initial Term"). The City shall have the option to extend the Initial Term of this Agreement by four (4) additional one-year terms (each, an "Extended Tenn"), on the same terms and conditions, by providing written notice to Contractor at least thirty (30) days prior to the expiration of the Initial Tenn or any Extended Term. The Initial Term and the Extended Teens are hereby collectively, referred to herein as the "Tenn" of this Agreement. Section 2. Article 5 of the Agreement, entitled "Payments to Contractor," is hereby amended to read as follows: The compensation for Contractor's performance of the Services shall not exceed the amount of Two Million Three Hundred Sixty -One Thousand Eight Hundred Seventy -Nine Dollars ($2,361,879) for the services provided during the Initial Term. Should this Agreement be renewed, the compensation for Contractor's performance for the Services shall not exceed the amount of Seven Hundred Seventy -Four Thousand Dollars ($774,000) for the first Extended Tenn; and Seven Hundred Seventy -Four Thousand Dollars ($774,000) for the second Extended Term, and Seven Hundred Seventy -Four Thousand Dollars ($774,000) for the third Extended Term, and Seven Hundred Seventy -Four Thousand Dollars ($774,000) for the fourth Extended Tenn, bringing the total possible amount of compensation to a not -to -exceed amount of Five Million Four undred fifty seven thousand eight hundred seventy nine dollars ($5,457,879). For the Initial Term and each Extended Term, City shall pay Contractor on a time and materials basis up to the not -to -exceed amount in accordance with the rates specified in Exhibit "A," titled "Scope of Services," which is attached hereto and incorporated herein by reference. 1 I:\cmo\Agreements\Third Amendment LNG Technologies, LLC FY25-0099.docx-ms
