THIRD AMENDMENT TO AGREEMENT TO PERFORM <br />NON-PROFESSIONAL SERVICES <br />This Third Amendment ("Third Amendment") to the agreement for the supply and delivery <br />of renewable liquid natural gas ("Agreement"), dated May 17, 2022, by and between the City of <br />Redlands, a municipal corporation and a general law city ("City"), and Applied LNG <br />Technologies, LLC, a Delaware limited liability company ("Contractor"), is made and entered into <br />this 1st day of July, 2025. <br />RECITALS <br />WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, <br />specifically the term of this agreement <br />NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby <br />acknowledged City and Contractor agree as follows: <br />AGREEMENT <br />Section 1. Article 4 of the Agreement, entitled "Performance of Services," is hereby <br />amended to read as follows: <br />The initial term of this Agreement shall commence on the Effective Date of May 17, 2022 <br />and end on June 30, 2023 (the "Initial Term"). The City shall have the option to extend the Initial <br />Term of this Agreement by four (4) additional one-year terms (each, an "Extended Tenn"), on the <br />same terms and conditions, by providing written notice to Contractor at least thirty (30) days prior <br />to the expiration of the Initial Tenn or any Extended Term. The Initial Term and the Extended <br />Teens are hereby collectively, referred to herein as the "Tenn" of this Agreement. <br />Section 2. Article 5 of the Agreement, entitled "Payments to Contractor," is hereby <br />amended to read as follows: <br />The compensation for Contractor's performance of the Services shall not exceed the <br />amount of Two Million Three Hundred Sixty -One Thousand Eight Hundred Seventy -Nine Dollars <br />($2,361,879) for the services provided during the Initial Term. Should this Agreement be renewed, <br />the compensation for Contractor's performance for the Services shall not exceed the amount of <br />Seven Hundred Seventy -Four Thousand Dollars ($774,000) for the first Extended Tenn; and <br />Seven Hundred Seventy -Four Thousand Dollars ($774,000) for the second Extended Term, and <br />Seven Hundred Seventy -Four Thousand Dollars ($774,000) for the third Extended Term, and <br />Seven Hundred Seventy -Four Thousand Dollars ($774,000) for the fourth Extended Tenn, <br />bringing the total possible amount of compensation to a not -to -exceed amount of Five Million <br />Four undred fifty seven thousand eight hundred seventy nine dollars ($5,457,879). For the Initial <br />Term and each Extended Term, City shall pay Contractor on a time and materials basis up to the <br />not -to -exceed amount in accordance with the rates specified in Exhibit "A," titled "Scope of <br />Services," which is attached hereto and incorporated herein by reference. <br />1 <br />I:\cmo\Agreements\Third Amendment LNG Technologies, LLC FY25-0099.docx-ms <br />
