D. Review and approve completed work before acceptance.
<br />E. Ensure timely payment for services rendered as outlined in this MOU.
<br />Section 7. District Responsibilities. The District shall be solely responsible for all of
<br />the following, including, without limitation, any accompanying cost or expense;
<br />A. Provide the necessary personnel, including a fire vehicle/apparatus fleet mechanic,
<br />to perform the outfitting services.
<br />E. Ensure all installations meet applicable safety standards and industry best practices.
<br />C. Perform outfitting services within a reasonable timeframe as agreed upon by both
<br />parties.
<br />D. Provide documentation of work completed, including an itemized invoice or a
<br />detailed breakdown of services rendered.
<br />E. Invoice the City in accordance with the agreed -upon payment terms.
<br />F. Storing Equipment overnight at secure facilities owned and controlled by the
<br />District when the District is in possession and control of the light fleet vehicles.
<br />Section 8. Indemnification. To the fullest extent permitted by law, the
<br />District (the "Indemnifying Party") shall defend, indemnify, and hold harmless the City (the
<br />"Indemnified Party"), including its elected and appointed officials, officers, employees, agents,
<br />and volunteers, from and against any and all claims, demands, causes of action, costs, expenses,
<br />liabilities, losses, damages, or injuries, including, but not limited to, reasonable attorneys' fees and
<br />legal costs, arising out of or related to the performance of Light Fleet Outfitting Services pursuant
<br />to this MOU. This includes, without limitation, claims relating to property theft, damage or
<br />destruction, personal injury, or wrongful death, in any way connected to the custody, delivery,
<br />modification, installation, or servicing of fleet equipment by the Indemnifying Party or its
<br />employees, agents, or contractors, except to the extent such claims result solely from the willful
<br />misconduct of the Indemnified Party.
<br />The Indemnifying Party shall, at its own cost and expense, defend any and
<br />all such claims, suits, or legal proceedings brought against the Indemnified Party, using legal
<br />counsel reasonably acceptable to the Indemnified Party. The Indemnifying Party shall be
<br />responsible for any resulting judgments, awards, or settlements, and shall reimburse the
<br />Indemnified Party for any and all legal expenses incurred in connection with such matters or in
<br />enforcing this indemnity provision.
