FIRST AMENDMENT TO AGREEMENT TO PERFORM <br />ENTERPRISE RISK CONSULTING SERVICES <br />This first amendment ("First Amendment') to the agreement for the provision of enterprise risk <br />consulting services ("Agreement'), dated July 14, 2025, by and between the City of Redlands, a <br />municipal corporation and a general law city ("City"), and Public Risk Innovation, Solutions, and <br />Management (PRISM), ("Consultant'), is made and entered into this 2nd day of October, 2025. <br />RECITALS <br />WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement, to <br />extend the term of the Agreement; and <br />WHEREAS, City and Consultant agree to amend the Agreement to extend its term. <br />NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby <br />acknowledged City and Consultant agree as follows: <br />AGREEMENT <br />Section 1. Section 6.1 ("Term") of the Agreement, is hereby amended to read as follows: <br />"6.1 Tenn: The term of this AGREEMENT shall commence on the Effective Date <br />listed in Exhibit A and will remain in full force and effect until February 28, 2026, or <br />unless terminated earlier as provided in the Agreement." <br />Section 2. The "Scope of Services and Fees" set forth in Exhibit A of the Agreement is hereby <br />amended as set forth in Attachment "1," which is attached hereto and incorporated herein by this <br />reference. <br />Section 3. All other provisions of the Agreement shall remain unchanged by this First <br />Amendment and in effect. <br />Section 4. This Amendment may be executed in counterparts, each of which shall be deemed <br />an original, but all of which together shall constitute one and the same instrument. <br />IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective as <br />of October 2, 2025. <br />1Acmo\Agreements\F1rst Amendment PRISM-FY2526-061.doox - AE <br />
