ASSIGNMENT <br /> OF FUNDING AGREEMENT <br /> BETWEEN VTRANS AND THE CITY OF REDLANDS <br /> TO OMNITRANS <br /> AND <br /> AMENDMENT OF FUNDING AGREEMENT <br /> This Assignment and Amendment of the Funding Agreement between Valley <br /> Transportation Services, a non-profit corporation and Consolidated Transportation Services <br /> Agency (hereinafter"VTrans"), the CITY of Redlands, a municipal corporation (hereinafter <br /> "CITY"), and Omnitrans, in its capacity as a Consolidated Transportation Services Agency <br /> (hereinafter"Omnitrans"), shall be effective November 1, 2016 <br /> RECITALS <br /> WHEREAS, in its capacity as the Consolidated Transportation Services Agency <br /> ("CTSA") for the San Bernardino Valley, VTrans agreed to provide CITY with Measure I funds <br /> for projects that improve mobility for persons with disabilities and senior citizens, <br /> WHEREAS, VTrans and CITY entered into a funding agreement(the "Agreement") for <br /> this purpose effective December 16, 2015, <br /> WHEREAS, on November 4, 2015, Ommtrans was designated as a CTSA for the San <br /> Bernardino Valley subarea, and the San Bernardino Associated Governments ("SANBAG") <br /> determined that it is in the best interest of the taxpayers to consolidate the operations of the two <br /> CTSAs under Omnitrans <br /> WHEREAS, given SANBAG's action VTrans now wishes to assign the Agreement to <br /> Omnitrans, in its capacity as a CTSA, and transfer all available funding for the Agreement to <br /> Omnitrans for future distribution to CITY, pursuant to the Agreement, and <br /> WHEREAS, Omnitrans wishes to amend the assigned Agreement to update the listed <br /> Project Manager and mailing address for any communications related to the Agreement <br /> NOW,THEREFORE, the parties agree as follows <br /> 1) VTrans warrant and represents that the Agreement is in full force and effect, and <br /> is fully assignable to Omnitrans, in its capacity as a CTSA <br /> 2) As of November 1, 2016, VTrans assigns and transfers all rights and obligations in <br /> the Agreement to Omnitrans. <br /> 3) Omnitrans hereby assumes and agrees to perform all obligations of VTrans under <br /> the Agreement <br />
