FIRST AMENDMENT TO PERFORM NON-PROFESSIONAL SERVICES <br /> This first amendment("First Amendment')to the non-professional services agreement dated June <br /> 6, 2017, (the "Agreement"), by and between the City of Redlands, a municipal corporation ("City") and <br /> Applied LNG Technologies, LLC ("Contractor")is made and entered into this 17th day of October, 2017 <br /> RECITALS <br /> WHEREAS,it is the desire of City and Contractor to amend their existing Agreement,specifically <br /> Article 5, entitled "Payments to Contractor," to change the total pace paid per RLNG gallon as of the <br /> effective date of this First Amendment, <br /> NOW, THEREFORE, City and Contractor hereby agree to amend the Agreement as follows <br /> AGREEMENT <br /> Section I Article 2 1 of the Agreement is hereby amended to include the revised Scope of <br /> Services more particularly described in Exhibit"A,"which is attached hereto and incorporated herein by <br /> this reference <br /> Section 2 Article 5 1 of the Agreement is hereby amended to read as follows <br /> "5 1 The annual compensation for Contractor's performance of the Services shall not <br /> exceed the amount of Four Hundred Twenty Thousand Dollars ($420,000) for the Initial <br /> Terin and total compensation shall not exceed the amount of Two Million One Hundred <br /> Thousand Dollars ($2,100,000) throughout the Initial and Extended terms of this <br /> Agreement City shall pay Contractor on a total price per RLNG gallon (fixed price <br /> including commodity and taxes) calculated using the monthly adjusted Natural Gas Price <br /> Index based upon the Southern California Border price as outlined Exhibit `A,' <br /> commencing the 17"' day of October, 2017 " <br /> Section 3 All other provisions of the Agreement shall remain unchanged and unaffected by this <br /> First Amendment <br /> IN WITNESS WHEREOF, the parties have executed tlus First Amendment to be effective as of <br /> this 17th day of October, 2017 <br /> CITY OF REDLANDS APPLIED LNG TECHNOLOGIES <br /> By 101 <br /> Paul W Foster, Mayor Edward McKenna, C and President <br /> ATTEST <br /> ole_ <br /> J e Donaldson, City Clerk <br /> l•IcaldjmkAgrcemeats\rnst Amendment to Perform Non Professional Semces Applied LNG.docx <br /> 1 <br />
