FIRST AMENDMENT TO THE AGREEMENT FOR THE PROVISION OF NON-PROFESSIONAL SERVICES WITH PINNACLE PETROLEUM, INC This first amendment ("First Amendment") to the agreement dated July 19, 2016, (the `'Agreement"), by and between the City of Redlands, a municipal corporation ("City") and Pinnacle Petroleum, Inc ("Contractor"), is made and entered into this 15th day of May, 2018 RECITALS WHEREAS, it is the desire of City and Contractor to amend their existing Agreement, specifically Article 5 entitled "Payments to Contractor," to increase Contractor's second and third terms total compensation amounts for the supply of 87 Octane and Diesel fuel to the annual amount of Six Hundred Forty Thousand Dollars ($640,000), NOW, THEREFORE, City and Consultant agree as follows AGREEMENT Section 1 Article 5 of the Agreement, entitled "Payments to Contractor," is hereby amended to read as follows "5.1 The total annual compensation for Contractor's performance of the Services shall not exceed the amount of Five Hundred Forty Thousand Dollars ($540,000) for the Initial Term of this Agreement and Six Hundred Forty Thousand Dollars ($640,000) for each of the Extended Terms of this Agreement, for total compensation under this Agreement being an amount not -to -exceed One Million Eight Hundred Twenty Thousand Dollars ($1,820,000) City shall pay Contractor on a time and materials basis up to the not to exceed amount in accordance with Exhibit "B" entitled "Price and Fee Bid" attached hereto and incorporated herein by reference " Section 2 All other provisions of the Agreement shall remain in full force and effect IN WITNESS WHEREOF, the parties have executed this First Amendment to be effective as of May 15, 2018 CITY OF REDLANDS PINNACLE P1?TROLEUM By�� C�� By Paul W Foster, Mayor j Liz J ATTEST Anne Donaldson, City Clerk I I Icaldjm\Agreements\First Amendment to the Agreement with Pinnacle Petroleum docx
