DocuSign Envelope ID' 2C71C16E-053A-4FFA-8F9C-2E9067D3758E <br />FIRST AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES <br />This first amendment ("First Amendment") to the agreement for the provision of <br />community benchmark survey and engagement services ("Agreement") dated June 21, 2021 <br />("Effective Date"), by and between the City of Redlands, a municipal corporation and general law <br />city ("City"), and Policy Confluence Inc., a Delaware corporation ("Consultant"), is made and <br />entered into this 23rd day of February, 2022. <br />RECITALS <br />WHEREAS, it is the desire of City and Consultant to amend Exhibit "A" of the Agreement, <br />titled "Scope of Services," to include a Project Schedule, which is in the form attached hereto as <br />Exhibit "1," and <br />WHEREAS, it is the desire of City and Consultant to amend Exhibit `B" of the Agreement, <br />titled "Fee Proposal Services," to include a fee for the second year, which is attached hereto as <br />Exhibit "2;" and <br />WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement <br />to extend the date for termination of the Services to June 21, 2023, and <br />WHEREAS, it is the desire of City and Consultant to amend Article 5 1 of their existing <br />Agreement to increase Consultant's present total compensation of twenty two thousand one <br />hundred dollars ($22,100) to the amount of forty three thousand dollars ($43,000), <br />NOW, THEREFORE, City and Consultant agree as follows <br />AGREEMENT <br />Section 1 The Project Schedule is hereby added within Exhibit "A" of the Agreement, <br />in the form attached hereto as Exhibit "1 " <br />Section 2 Section 4.2 of the Agreement, titled "Performance of Services," is hereby <br />amended to read as follows <br />"4.2 The term of the Agreement shall be for a period of two (2) years commencing as of the <br />Effective Date, unless terminated earlier as provided herein." <br />Section 3 Section 5 1 of the Agreement, titled "Payment to Consultant is hereby <br />amended to read as follows <br />"5 1 The total compensation for Consultant's performance of the Services shall not exceed the <br />amount of forty three thousand dollars ($43,000) City shall pay Consultant in accordance <br />with Exhibit `B," titled "Fee Proposal Services and Fees for the Second Year" which is <br />attached hereto and incorporated herein by reference " <br />1 <br />L:\ca\djm\Agreements\Policy Confluence First Amend.FY21-0078.docx.jn <br />
