FIRST AMENDMENT TO NON-PROFESSIONAL SERVICE AGREEMENT This first amendment ("First Amendment") to the Non -Professional Service Agreement for groundwater well and booster pump services November 1, 2022 (the "Agreement"), by and between the City of Redlands, a municipal corporation and general law city ("City"), and General Pump Company, a California corporation ("Contractor"), is made and entered into this 16th day of April 2024. RECITALS WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, specifically to amend the compensation for Contractor's performance of services during the first Extended Term to $750,000 and to amend the term during the first Extended Term to two (2) years. NOW, THEREFORE, in consideration of the mutual promises contained herein City and Contractor agree as follows: AGREEMENT Section 1. The term for Contractor's performance of services, as set forth in Section 4.2 of the Agreement, is hereby amended to extend the project completion time during the first Extended Term and shall read as follows: 4.2 "The term of this Agreement shall be for a period of one (1) year from the Effective Date of this Agreement (the "Initial Term"). The City shall have the option to extend the Initial Term of this Agreement by two (2) years (the "Extended Term"), on the same terms and conditions, by providing written notice to Contractor. The Initial Term and Extended Term are hereby collectively, referred to herein as the "Term" of this Agreement." Section 2. The compensation for Contractor's performance of services, as set forth in Section 5.1 of the Agreement, is hereby amended to increase the Contractor's maximum compensation during the first Extended Term and shall read as follows: 5.1 "The compensation for Contractor's performance of the Services shall not exceed the amount of three hundred seventy-five thousand dollars ($375,000) for the Services provided during the Initial Term. Should this Agreement be renewed, the compensation for Contractor's performance for the Services shall not exceed the amount of seven hundred fifty thousand dollars ($750,000) for the first Extended Term, bringing the total possible amount of compensation to a not -to -exceed amount of one million one hundred twenty- five thousand dollars ($1,125,000.00). For the Initial Term and Extended Term, City shall pay Contractor on a time and materials basis up to the not -to -exceed amount in accordance with the rates specified in Exhibit "C", titled "Price and Fee Bid", which is attached hereto and incorporated herein by reference."
